A family friend has an Approved I 130, IT ws filed in 1999 and approved in 2002. He enter the us illigally. What will he need to do to file for 245 I. Will he have to leave us. Is it difficult.

Is he married to a USC? Who filed the I-130 for him in 1999?

No his father filed it for him.

Unless he marries a USC he'll still have to keep waiting for a visa number, which will still take a loooong time, seven years at the current rate. If he doesn't have immigration problems and get deported or something before then, he should be able to adjust his status. I'm assuming he's over 21 and unmarried for purposes of the visa number.

Can also be used for employment if you can find a sponsor who will file an I-140 for you.
